David advises on complex corporate and securities transactions in Canada, providing strategic advice on business-critical mandates for clients across a broad range of industries.
David’s practice focuses on corporate/commercial and securities law, with an emphasis on corporate finance and mergers and acquisitions. He has acted for acquiring and target companies, as well as controlling shareholders, in both negotiated and contested transactions. He has also acted for both issuers and investment banks in a variety of public offerings of debt and equity.
David provides ongoing advice to public companies on their disclosure, corporate governance and other corporate and securities law obligations, as well as assistance in preparing and negotiating commercial contracts and board/governance and HR-related policies and plans.
David advises key players in a wide variety of Canadian industries, including financials, information providers, retail, infrastructure, energy, manufacturing, mining and metals, and government and regulatory bodies. David has played a lead role in acting for a number of Canada’s largest companies on both key strategic transactions and day-to-day matters, including the Weston group of public companies (Loblaw, George Weston and Choice Properties), Brookfield and Thomson Reuters.
David is actively involved in the firm’s student and associate mentorship, training and recruitment programs.
David is a member of Start Proud (formerly Out on Bay Street), an organization with the goal of facilitating the professional development of LGBTQA+ students as they transition from school to career. David has acted as a professional mentor to LGBTQA+ students through the Start Proud mentorship program and has presented at a number of Start Proud career seminars on topics and issues pertinent to the LGBTQA+ community.
