The May/June edition of the Director Journal’s column Directors’ Dilemma poses the question: “I have some concerns about the conduct of a fellow board member. What should I do?”
In the article, Calgary partner Stephanie Stimpson recommends that the chair of the board and perhaps the chair of the relevant committee (assuming they are not the parties of interest) should develop an appropriate response plan to ensure good governance processes are followed.
She says that if the issues are not of a critical nature, it may be possible to deal with them through the board evaluation process.
