Love at first sight (the acquisition)

Part of the “Define the relationship: the PE investment lifecycle” series

Join members of Torys’ New York office for this series as they discuss the key components that make a US private equity investment a meaningful partnership. From acquisition to exit, our team will examine the considerations that arise in these investments, including corporate, tax, litigation, executive compensation, employment, real estate, and securities matters.

Love at first sight (the acquisition)

Acquiring a portfolio company involves a range of legal imperatives, from initial structuring through signing and closing. The deal team needs to work closely together to identify risks, optimize deal structure, and protect the sponsor's investment.

This session will look at deal structuring and tax efficiency, litigation risk assessment, management equity arrangements, and employment and benefit plan due diligence.

This session will be presented in English.
