Navigating challenging circumstances: governance considerations for boards of distressed companies

When companies are in the “zone of insolvency”, good governance and best practices are critical for directors. Join members of Torys’ corporate governance and insolvency teams as they discuss key considerations for boards as they seek to discharge their duties in navigating through challenging circumstances.

This session will discuss adoption of an appropriate governance model and robust scenario planning to avoid insolvency, where possible, and otherwise ensure the most successful outcome for the corporation and its stakeholders. The panel will explore the practical challenges for managing disclosure, stakeholder engagement, corporate performance and board dynamics in uncertain times, and recommended practices to successfully navigate these challenges through business continuity and contingency planning, managing conflicts of interest, optimizing management and board performance, building consensus and timely decision-making on a path forward.

This session will be presented in English.
