Kirin to acquire Jamieson Wellness in C$2.5 billion transaction

On August 6, 2026, Jamieson Wellness Inc. ("Jamieson Wellness") announced that it entered into a definitive arrangement agreement with Kirin Holdings Company, Limited ("Kirin"), pursuant to which Kirin agreed to acquire all of the issued and outstanding common shares of Jamieson Wellness at a price of C$45.75 per share in cash. The transaction values Jamieson Wellness at approximately C$2.0 billion on a fully diluted equity value basis and approximately C$2.5 billion on an enterprise value basis.
The result of a comprehensive negotiation process undertaken at arm's length with the oversight and participation of a special committee of independent directors, the transaction will be carried out by way of a court-approved plan of arrangement under the Business Corporations Act (Ontario) and is subject to:
- the approval of at least two-thirds of the votes cast by holders of shares at a special meeting of the shareholders expected to be held in September 2026; and
- if required, the approval of a simple majority of the votes cast by shareholders at the special meeting excluding those required to be excluded pursuant to Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions.
The transaction is expected to be completed in the fourth quarter of 2026, subject to court and regulatory approvals and clearances, as well as other customary closing conditions in addition to shareholder approval.
Following completion of the transaction, it is expected that the shares of Jamieson Wellness will be delisted from the TSX and that Jamieson Wellness will cease to be a reporting issuer in all applicable Canadian jurisdictions.
