GO Residential REIT announces bought deal treasury offering
On March 16, 2026, GO Residential Real Estate Investment Trust (the “REIT”) announced that it entered into an agreement with a syndicate of underwriters led by CIBC Capital Markets and RBC Capital Markets, pursuant to which, the underwriters agreed to purchase, on a bought deal basis, an aggregate of 3,768,845 REIT units at a price of US$9.95 per unit for gross proceeds of approximately US$37.5 million.
Concurrent with the offering, its operating subsidiary, GO Residential Operating LLC ("OpCo"), entered into a contribution agreement with certain individuals who directly (or indirectly) subscribed for an aggregate of approximately 3,780,910 common units of OpCo at price of US$9.95 per unit for gross proceeds of approximately US$37.6 million.
Together, the offering and the concurrent private placement are expected to result in aggregate gross proceeds of approximately US$75.1 million.
The REIT has also granted the underwriters an over-allotment option to purchase up to 565,326 additional REIT units at the offering price, exercisable in whole or in part for a period of up to 30 days following the closing of the offering. If exercised in full, the total gross proceeds of the offering and the concurrent private placement would increase to approximately US$80.7 million.
Closing of the offering and private placement are expected to occur concurrently on or about March 23, 2026, subject to customary conditions, including receipt of approval of the TSX.
