Orion Mine Finance lithium stream restructuring
Torys acted as counsel to Orion Mine Finance in the restructuring of its lithium streaming agreement with Nemaska Lithium Inc.
The stream, for a percentage of all lithium hydroxide and lithium carbonate processed at Nemaska's electrochemical plant in Shawinigan, Québec from produce from its Whabouchi Lithium Mine in Eeyou Istchee James Bay territory, was restructured as part of Nemaska's reorganization and sale under the Companies' Creditors Arrangement Act to a group that included Investissement Québec and The Pallinghurst Group.
Torys also acted on the following in connection with this project:
Orion Mine Finance, as the largest secured creditor to Nemaska Lithium Inc., in its joint acquisition with Investissement Québec and The Pallinghurst Group of Nemaska as part of its sales process under the Companies’ Creditors Arrangement Act, including its reorganization and the acquisition of the Whabouchi Lithium Mine under development in the Eeyou Istchee James Bay territory and the Hydromet Plant in Shawinigan, Québec
Orion Mine Finance in its US$150 million lithium streaming agreement with Nemaska Lithium Inc. providing for Orion's purchase of a percentage of all lithium hydroxide and lithium carbonate produced at Nemaska's Shawinigan plant in Québec
