Autrans' Ingersoll operations sold to Spencer//Butcher Group

Torys acted as counsel to Autrans Corporation and Sojitz Corporation with a team that included Don Bell, Giancarlo Ruscio, Kevin Wall and Crystal Chung (corporate/M&A), Andrew Wong and Patrick Shaunessy (tax), Darryl Hiscocks (employment) and Sabrina Gherbaz (real estate).

On July 11, 2018, it was announced that Autrans Corporation, a wholly owned subsidiary of Sojitz Corporation, sold its value added assembly operations in Ingersoll, Canada ("Autrans Ingersoll") to Butcher Engineering Enterprises, Ltd., a holding of the Spencer//Butcher Group.

Autrans Ingersoll is the sole third-party just-in-time (JIT)/just-in-sequence (JIS) assembler of front-end sub-frame assemblies, delivering the fully-dressed "super-cradle module" directly to the adjacent production line of a major North American automotive manufacturer. The "super cradle module" consists of the fully-dressed engine (accessories, belts, hoses, harnesses, sensors), transmission, steering mechanisms including steering gear, corner modules (strut, steering knuckle, hub and brake components), and associated linkages, anti-roll stabilization, drive shafts (for front and all-wheel drive variants) and the cooling module (radiator, fan, hoses, and air deflectors).

Spencer Butcher Group is a family-owned group of companies headquartered in Windsor, Ontario, which provides innovative 3PL Material Integration Solutions for packaging, warehousing, reverse logistics, sequencing, sub-assembly and containment.
