Eurocopter to acquire Vector Aerospace
Torys acted as counsel to IMP Group with a team that included Kevin Morris, Jamie Scarlett, John Emanoilidis, Omar Wakil, Andrew Gray, Jim C. Tory, Corrado Cardarelli, Jim MIller, Tom Miller and Zack Newton.
On March 28, 2011, Eurocopter Holding, a subsidiary of EADS (EUR: EAD) and Vector Aerospace Corporation (TSX: RNO), entered into a support agreement pursuant to which Eurocopter Holding will acquire all of the issued and outstanding common shares of Vector Aerospace by way of a takeover bid for C$13 in cash per common share (the Offer). The Offer values Vector Aerospace's equity at approximately C$625 million. IMP Group Limited, owner of 32% of the Vector shares, signed an irrevocable lock up to support the transaction.
