Viterra completes public offering of C$200 million senior unsecured notes

On February 15, 2011, Viterra Inc. (TSX: VT) completed an offering of C$200 million senior unsecured notes with a maturity date of February 16, 2021 and a yield of 6.406%. The offering was made pursuant to Viterra's short form base shelf prospectus and a prospectus supplement filed in all of the provinces of Canada and on a private placement basis in the United States pursuant to an exemption from the registration requirements of the United States Securities Act. The notes are guaranteed by each of Viterra's existing subsidiaries that is a guarantor under Viterra's global credit facility and each of Viterra's future restricted subsidiaries that becomes a guarantor under Viterra's global credit facility.
The offering was underwritten by a syndicate of underwriters led by TD Securities Inc. and RBC Dominion Securities Inc. The proceeds from the offering will be used to partially repay drawings under Viterra's unsecured revolving global credit facility.
