Corel completes C$117 million initial public offering
Torys acted as Canadian and U.S. counsel to Corel with a team that included Darren Sukonick (Canadian corporate and securities), Darren Baccus, Joshua Goldstein, Mark Adkins, Gavin Sinclair, Craig Pell, Martin Dunleavy, Michael Arnot and Mark Irving (U.S. corporate and securities), Amanda Balasubramanian and Nadine Rockman Katz (senior credit), Corrado Cardarelli, Peter Keenan and Gregg Larson (tax) and Christina Medland (pension and employment).
On May 2, 2006, Corel Corporation (TSX: CRE and Nasdaq: CREL) completed its initial public offering of common shares for gross proceeds of US$104 million (C$117 million) and completed its acquisition of WinZip Computing from Vector Capital. Corel also entered into a US$165 million senior secured credit facility. Morgan Stanley led the syndicate of underwriters and lenders.
