Darien Leung is the managing partner of Torys’ New York office. Drawing from deep cross-industry experience, she advises clients on the structuring, negotiation, and documentation of complex financings. Her practice includes extensive experience with syndicated and bilateral credit facilities, including leveraged acquisitions and general corporate finance. Darien leads the New York fund finance practice, and advises clients in subscription line facilities, net asset value (NAV) facilities, hybrid facilities, and bespoke forms of fund finance. She also has a specialty practice in metals financing, advising lenders across the commodity chain, with substantial experience in inventory and warehouse financing, borrowing base facilities, and commodity trade, tolling, and offtake arrangements.

In addition, Darien advises the firm’s investor clients in private credit transactions, helping them evaluate, structure, and negotiate direct lending and other private credit investments. Her work with both lenders and investors gives her a practical understanding of the interests on each side of the table, and the perspective to anticipate issues early, provide insight into market terms and risk allocation, and develop practical, efficient solutions.
