2024 M&A Skills Boot Camp

Partners Michael Amm, Adrienne DiPaolo, Darryl Hiscocks, Danielle Kline, and Stephen Neil, and associate Claire Chapman, will present at the 13th annual M&A Skills Boot Camp, hosted by Osgoode Hall Law School. Chaired by Adrienne DiPaolo and held over the course of four half-days (September 18 and 25, and October 1 and 9), the program is designed to teach legal professionals and advisors how to run an M&A transaction from its inception through to closing.

Adrienne will kick off the program with opening remarks on September 18 at 1:10 p.m. to welcome guests and introduce the topics of the program.

On October 1, Claire and Danielle will co-host a session at 1:00 p.m. titled, “Negotiating the Fundamentals”.  By reviewing past precedents and negotiated clauses, this session will review key negotiation techniques and considerations that should be made throughout each step of the negotiation process.

Michael’s presentation will follow at 4:00 p.m. as part of the session “Managing Risk in International Transactions”. This session will explore the key factors that make international deals different than domestic deals, including structuring and tax planning considerations, international regulatory processes, foreign investment review, securities law issues, and more.

On October 9 at 1:00 p.m., Darryl will present during the session “Employment, Pensions and Benefits Issues in the M&A Process”. The presentation will discuss key issues and necessary due diligence related to employment, pensions and benefits, termination, and succession planning and explore how these considerations are handled in acquisitions.

Finally, Adrienne and Stephen will close out the program by hosting a case study exercise on October 9 at 4:15 p.m., which will enable all participants to apply the concepts learned throughout the program to a simulated corporate acquisition.
