Kate DempseyOntario’s Not-for-Profit Corporations Act, 2010 (ONCA) was enacted on October 25, 2010 and proclaimed into force on October 19, 2021. The ONCA provides a modern legislative framework for Ontario’s not-for-profit corporations, including charities. The ONCA replaces Ontario’s Corporations Act (OCA) and applies automatically to all new not-for-profit corporations. Existing not-for-profit corporations incorporated under Part III of the OCA have until October 19, 2024 to bring their governing documents, such as original and supplementary letters patent, by-laws and special resolutions, into conformity with the ONCA.
