Indemnity Provisions in M&A Contracts

Join us for a session on indemnity provisions in M&A contracts. These provisions play an important role in allocating risk between buyers and sellers, and this upcoming session will cover the key issues affecting their negotiation, including:

  • identifying who the indemnified parties are, survival periods, and limitations on liability (e.g. liability caps, de minimis thresholds, baskets and deductibles, and defining the scope of "damages");
  • procedural considerations; and
  • a discussion of limitation of liability clauses and what the different heads of damages actually mean.

Practice tips and examples of well-drafted indemnity provisions will be provided throughout the session.
