Cognos completes US$4.9 billion sale to IBM
Torys acted as counsel to Cognos with a team that included David Chaikof, Peter Jewett, Thomas Yeo, Philip Mohtadi, Andrew Prodanyk, Danial Lam and Cayley Rodd (corporate), Christina Medland and Stacey Parker-Yull (pension and employment), Jay Holsten and Jonathan Gilhen (antitrust) and Jim C. Tory and Andrew Gray (litigation).
On January 31, 2008, Cognos Inc. was acquired by IBM Corp. by way of an arrangement under the Canada Business Corporations Act for approximately US$5 billion in cash, making it IBM's largest acquisition worldwide. Together, IBM and Cognos will become the leading provider of technology and services for business intelligence and performance management.
