Baylin Technologies completes private placement of C$10.3 million of subscription receipts

On December 18, 2025, Baylin Technologies Inc. ("Baylin") completed its previously announced brokered private placement of 41,250,000 subscription receipts at a price of C$0.25 per subscription receipt for gross proceeds of C$10,312,500, with Paradigm Capital Inc. acting as lead agent.
Proceeds of the private placement will be used by Baylin to finance a portion of the purchase price for the previously announced acquisition Kaelus AB for a purchase price of SEK 285 million (or approximately C$42 million). Each subscription receipt will entitle the holder to receive one common share of Baylin upon closing of the acquisition and the satisfaction of certain other conditions, including approval of the Toronto Stock Exchange, the foreign investment authority in Finland and shareholders of Baylin.
