Alaris Royalty completes C$115 million bought deal financing
On July 16, 2015, Alaris Royalty Corp. (Alaris) completed its previously announced short-form bought deal prospectus offering of 3,771,655 common shares issued at a price of C$30.50 per common share (including 491,955 common shares issued pursuant to an over-allotment option that was exercised in full by the underwriters), for gross proceeds of C$115,035,477.50.
Acumen Capital Finance Partners Limited and RBC Capital Markets Inc. acted as joint book runners on the offering on behalf of the syndicate of underwriters, which included Cormark Securities Inc., National Bank Financial Inc., Raymond James Ltd. and Canaccord Genuity Corp.
The net proceeds of the offering will be used to repay an aggregate of C$109,608,881 of outstanding indebtedness under Alaris' C$150,100,000 credit facility, which was previously used to fund investments in new and existing private company partners.
Alaris provides alternative financing to a diversified group of Private Company Partners in exchange for royalties or distributions from the partners, with the principal objective of generating stable and predictable cash flows for dividend payments to its shareholders.
