Sagen MI Canada Inc.’s completion of preferred share, debenture, hybrid note offering
Sagen MI Canada Inc. (“Sagen MI Canada”) completed a series of financings partially used to fund the distribution to shareholders in connection to Brookfield Business Partners’ (“Brookfield”) C$1.6 billion acquisition of the remaining 43% interest in Sagen MI Canada not already owned by Brookfield. Torys represented Brookfield in this transaction.

Torys represented Duo Bank of Canada in its acquisition of Fairstone Financial Holdings Inc. from an investor group led by J.C. Flowers & Co. LLC and Värde Partners, Inc.

Intact Financial completes offerings to fund proposed acquisition of RSA Insurance Group PLC
Torys represented the agents/underwriters in multiple offerings to fund a portion of the purchase price of Intact Financial Corporation’s (“Intact”) proposed acquisition of RSA Insurance Group PLC. This included representing CIBC Capital Markets, Barclays Capital and the syndicate of underwriters in Intact’s C$1.25 billion private placement of subscription receipts and CIBC Capital Markets, TD Securities, National Bank Financial and the syndicate of agents in Intact’s C$600 million private placement of medium term notes.
