TMX Group announces agreement to acquire Cboe Canada and Cboe Australia
Torys is acting as counsel to TMX Group with a team led by Konata Lake and that includes Kevin Morris, Adam Armstrong, Yasmine Mekallach and Victoria Liu (corporate/M&A), Glen Johnson and Peter Gilmore (securities), Omar Wakil and Eric Patenaude (competition), Ed Fan and Denver Bandstra (IP), Nic Wall (privacy and data governance), Tom Stevenson and Parker Baglole (employment), Gwen Watson and Robbie Wang (tax).
On April 22, 2026, TMX Group Limited (“TMX Group”) announced an agreement to acquire Middlebury Holdings Pty. Limited (“Cboe Australia”) and Cboe Canada Holdings, ULC (“Cboe Canada”) from Cboe Global Markets, Inc. for US$300 million (C$409 million) in total consideration.
The transaction will bolster TMX’s ability to serve clients across the capital markets ecosystem, expand the company’s global presence, and accelerate its growth strategy, while reducing cost and complexity for Canadian market participants.
Subject to regulatory approvals and customary closing conditions in Australia and Canada, the two purchases are expected to close separately, each after required approvals have been obtained.
