Venera frequently represents U.S. and international private equity fund sponsors in all aspects of the structuring, formation, operation and restructuring of private investment funds. She also regularly advises institutional investors on their investments in private investment funds.
Venera also represents private equity fund sponsors and their personnel in connection with economic sharing arrangements and various employment and separation agreements. Beyond private equity fund matters, she also provides regulatory advice to investment advisers with respect to federal securities laws, investment adviser and investment company laws and Commodity Exchange Act and CFTC rules and regulations.
Venera speaks Bulgarian, Italian and Russian.
Venera has represented numerous private fund sponsors in connection with their fundraising and fund structuring, including Crow Holdings Capital Partners, Orkila Capital Partners, Fengate Asset Management, PeakEquity Partners Management, Milestone Partners Management, PAI Partners, Revetas Capital Advisers, Electrum Group, Thomas H Lee Capital, Kainos Capital, Brookfield Asset Management, CCMP Capital, Tower Tree Partners, InfraRed Partners, WL Ross &Co LLC, American Securities, Stone Tower Partners and TZP Capital Partners.
Venera has also worked on acquisitions of investment advisers, such as SoftBank’s US$3.3 billion acquisition of Fortress Investment Group.
Venera has authored numerous articles addressing current market issues applicable to private funds.
Venera is a member of the Board of Directors of the Harvard Law School Alumni Association, the Executive Committee of Harvard Law School and a member of the New York State Bar Association, Private Investment Funds Subcommittee.
