We are delighted to announce that Torys has been recognized in three deal categories at the 2022 Canadian Law Awards.
Infrastructure & Projects Deal of the Year: Henvey Inlet Wind LP Refinancing
Torys acted as counsel to the 11-bank syndicate of lenders in the C$1.2 billion refinancing of the 300 MW Henvey Inlet Wind Energy Centre in northern Ontario, owned by a joint venture between Nigig Power Corporation and Pattern Energy Group LP. The non-recourse debt financing included an 18-year senior secured credit facility, as well as letters of credit.
The Torys team was led by Milosz Zemanek and included Scott Kraag, Simon Williams, Brianna Cowling and Stephanie Gurrieri (project financing), Don Roger, Andy Gibbons and Diana Pegoraro (real estate), Tyson Dyck and Henry Ren (environmental).
M&A Deal of the Year: Brookfield Acquisition and Privatization of Inter Pipeline
Torys advised Brookfield Infrastructure in connection with its C$8.6 billion acquisition of Inter Pipeline Ltd.
The Torys team was led by Karrin Powys-Lybbe, Andrew Beck, Mile Kurta, Jonathan Cescon, Adam Ibrahim (corporate/M&A), Corrado Cardarelli, David Mattingly and Andrew Wong (tax).
Mid-Market Deal of the Year: Agnico Eagle Acquisition of TMAC Resources
Torys acted as counsel to BMO Capital Markets as financial advisor to TMAC Resources Inc. in its C$286.6 million sale to Agnico Eagle Mines Limited. The transaction was effected through a plan of arrangement under the Business Corporations Act (Ontario) pursuant to which Agnico Eagle acquired all of TMAC’s issued and outstanding common shares.
