Considerations for holding in camera sessions
Partner Adrienne DiPaolo has shared her insights with Director Journal column Director’ Dilemma, which asked the question: Should in camera session be a standing item on our board agenda?
The column notes that “regular in camera sessions can provide enormous benefits to the board of directors”, but it’s important those sessions that are in camera have a clear purpose following the appropriate guidelines.
Advising on how documentation from in camera sessions should be handled, Adrienne said directors taking part in an in camera session should “apply the ‘front page of the newspaper’ test, keep it crisp and focus on decision taken and action items.”
