Oracle completes acquisition of Cerner
On June 1, 2022, Oracle Corporation (“Oracle”) announced that all that all required antitrust approvals had been obtained for its previously announced acquisition of Cerner Corporation (“Cerner”).
The agreement in which Oracle was to acquire Cerner through an all-cash tender offer for US$95.00 per share, or approximately US$28.3 billion in equity value, was jointly announced on December 20, 2021.
In addition to antitrust approvals, closing of the transaction was subject to the satisfaction of certain closing conditions, including Cerner stockholders tendering a majority of the Cerner’s outstanding shares in a tender offer that expired at midnight on June 6, 2022 . On June 7, 2022, following the valid tendering of approximately 204,280,589 shares, or 69.2% of the total shares, by Cerner’s stockholders, it was announced that all conditions had been satisfied or waived.
The deal closed on June 8, 2022.
