Structured Finance and Securitization 

Torys played a leading role in the restructuring of Canada's third-party asset-backed commercial paper (ABCP) market.

The members of Torys’ Structured Finance and Securitization Practice Group have extensive experience working with a wide variety of asset classes, including

  • mutual fund deferred sales fees


We have also worked with clients to develop a number of new securitization structures and products. We represent issuers and underwriters on public offerings of asset-backed securities, and we are familiar with the regulatory requirements and timing necessary to complete offerings of asset-backed securities in Canada. We have acted on numerous private placements of term notes, and in the establishment of multi-seller and single-seller commercial paper securitization conduits. We also advise liquidity lenders, credit enhancers and investors.

With offices in Toronto and New York, Torys is the only law firm capable of providing structuring, securities and tax advice on cross-border offerings of asset-backed securities, and on the cross-border sale of receivables from Canadian vendors to U.S. conduits, or U.S. vendors to Canadian conduits.
