Black Dragon Capital to acquire Grass Valley from Belden

Torys acted as Canadian counsel to Black Dragon Capital with a team led by (Ricco) A.S. Bhasin and that included Jordan Fenton and Marissa Daniels (corporate/M&A), Mitch Frazer, Pat Denroche and Christophe Cinqmars-Viau (pensions/employment), Andy Gibbons and Diana Pegoraro (real estate), Ed Fan and Denise Ramsden (IP), Andrew Wong and Benjamin Mann (tax), Tom Zverina (lending) and Tyson Dyck (environmental).

On July 2, 2020, Grass Valley Canada Inc. ("Grass Valley") announced the completion of its previously announced acquisition by Black Dragon Capital from Belden Inc. Upon completion of the transaction, Black Dragon Capital assumes full control of Grass Valley and all of its assets.

Belden will maintain a financial interest in Grass Valley and has entered into a multi-year Transition Services Agreement to ensure the smooth handover of key business and operational systems. With the acquisition complete, Grass Valley will continue its day-to-day activities under the leadership of the company's current president without disruption.
