The Carlyle Group and Warburg Pincus complete acquisition of DBRS

Torys acted as counsel to DBRS with a team that included Michael Siltala, Huw Evans, Will Hooper and Sophie Courtois (corporate/M&A), John Unger and Saira Bhojani (tax), Tom Zverina (lending), Lynne Lacoursière (employment), Omar Wakil and Christopher Caparelli (competition and foreign investment) and Ed Fan (IP).

On March 4, 2015, The Carlyle Group and Warburg Pincus LLC, in partnership with a consortium of Canadian-based individual investors including DBRS' founder, Walter Schroeder and DBRS management, completed their acquisition of DBRS Limited, the fourth largest global credit rating agency.

The terms of the transaction were not disclosed.

DBRS is a globally recognized provider of timely credit rating opinions that offer insight and transparency across a broad range of financial institutions, corporate entities, government bodies and various structured finance product groups.

The Carlyle Group is a global alternative asset manager with US$203 billion of assets under management across 129 funds and 141 fund of funds vehicles as of September 30, 2014.

Warburg Pincus is a leading global private equity firm focused on growth investing. The firm has more than US$37 billion in assets under management.
