David Chaikof is a M&A and capital markets partner who advises on complex matters including strategic review processes, hostile and friendly takeover bids, proxy battles, private equity investments and cross border financings.
David has a comprehensive knowledge of the Canadian and U.S. capital markets as a result of his participation in more than 200 high-profile capital markets transactions during the past decade. David led the strategic review process in 2013 for BlackBerry including the related US$1.25 billion financing. He also acts as lead advisor to Fairfax Financial on their M&A mandates, going private transactions, strategic investments and capital markets transactions which include over $7.0 billion of debt and equity financing transactions. He recently led the Goldman Sachs sale of Alliance Films to eONE and also led the first cross-border bond offering by a First Nation enterprise in Canada (2014). David also advised Cognos on its strategic review process leading to the US$5 billion sale to IBM.
David regularly advises companies on corporate governance matters and securities compliance matters, and acts as counsel to special committees of boards of directors. In addition, David is head of Torys’ Technology, Media and Telecom Practice Group.

David is an editorial board member of Federated Press's North American Corporate Lawyer. He has lectured at conferences and law schools, and published articles on stockholder activism, poison pills, cross-border debt offerings, the multijurisdictional disclosure system, corporate governance and shareholder arrangements. In the early 1990s, David was seconded to the Ontario Securities Commission's International Markets and Corporate Finance Branches.
David is actively involved in the non-profit sector and is a graduate of the Wexner Heritage Foundation Leadership Program. For five years, David was chair of Camp Ramah, a summer co-ed camp in Ontario.
