The recent decision of the United States District Court for the District of Columbia in Pension Benefit Guaranty v. Asahi Tec Corporation suggests that the non-US parent corporation may be responsible for the pension liabilities of their US subsidiaries. “The decision makes it important for Canadian companies looking to acquire US subsidiaries that have defined benefit pension plans to conduct due diligence on any pension-related liabilities,” says Lynne Lacoursière.
