Practice

Andrew Gray's practice focuses on civil litigation in a variety of areas, including corporate/commercial, securities and insolvency matters. In Andrew’s corporate/commercial practice, he has extensive expertise with respect to contested transactions, securities litigation, Ontario Securities Commission investigations, CCAA proceedings and plans of arrangement. He also has extensive class action experience. Andrew has appeared as counsel in the Court of Appeal, the Superior Court of Justice, the Ontario Court of Justice, and before the Ontario Securities Commission and other administrative tribunals.

Cases

Andrew has recently acted as counsel in

regulatory investigations involving continuous disclosure, options backdating and insider trading
defending a director of a public company in a class action involving allegations of prospectus misrepresentations
representing a financial institution in CCAA proceedings relating to asset backed commercial paper
representing corporations in court approval of plans of arrangement
defending claims by debentureholders against a substantial Canadian commercial real estate company
defending a respondent in insider trading proceedings before the Ontario Securities Commission
representing an issuer and an investment dealer in connection with regulatory investigations of market timing in mutual funds
representing shareholders, corporations and directors in oppression proceedings
a number of oppression proceedings on behalf of shareholders, corporations and directors
defending proposed securities class actions on behalf of an underwriter and on behalf of the trustees of an income trust
representing investors in actions relating to alleged misrepresentations in an offering memorandum
representing the directors of a public company in a CCAA restructuring
defending investment dealers and brokers in trading-related matters, class actions and complaints alleging negligent investment advice and breaches of fiduciary duties

Professional Involvement

The Faculty of Law, University of Toronto awarded Andrew the Dean Cecil A. Wright Key as the graduating student who exhibited the greatest interest in extracurricular work of an academic nature.
