	Rose is recognized as a leading practitioner in structured finance and securitizations.

Practice

Rose Bailey’s practice focuses on commercial law in the areas of finance, commercial real estate, securitizations and infrastructure projects. She has extensive experience in commercial mortgage securitizations, commercial real estate joint ventures and the acquisition and financing of businesses, real estate and mortgage portfolios. Her experience includes advising lenders and borrowers on various international financing and project financing transactions. She has also acted on various public financing transactions involving REITs and the monetization of installment receipt receivables arising from public offerings made by REITs.

TIAA-CREF and OMERS in RioCan Retail Value Limited Partnership, a partnership established to invest more than C$500 million to acquire and reposition retail shopping centers in Canada
Great Lakes Power in its C$500 million financing of its Northern Ontario Power portfolio
Mississagi Power Trust in its C$175 million financing of its Mississagi Power Facility
First Capital Realty in its acquisitions, joint ventures, financings and development projects
Kimco REIT in its acquisition of various joint venture interests in commercial real estate
GMAC Commercial Mortgage of Canada
- in establishing its floating rate commercial mortgage securitization program through GMAC Commercial Mortgage Securities of Canada—the first prospectus was filed on July 30, 2002, with respect to the issuance of C$210 million of mortgage pass-through certificates
- in its participations in numerous commercial mortgage securitizations completed by Merrill Lynch Financial Assets
Sun Life Assurance Company of Canada in establishing its commercial mortgage securitization program through Mansfield Trust—the first prospectus for Mansfield Trust was filed on July 17, 2001 with respect to the issuance of C$253 million of commercial mortgage pass-through certificates
Fortress Asset Trust and its related companies in its Canadian transactions, including a securitization of a real estate lease portfolio
