• Sun Life Financial on various corporate matters and transactions, including
  • in its 2010 C$280 million public offering of preferred shares
  • in its 2009 C$500 million issuance of innovative Tier 1 Securities
• K+S Aktiengesellschaft as Canadian counsel in its 2009 US$1.576 billion purchase of Morton International from Rohm and Haas (owned by Dow Chemical)
• BPO Properties in its 2010 REIT conversion
• Ontario Teachers’ Pension Plan in its 2010 £389 million acquisition of Camelot Group plc
• Shred-it International in its 2009 acquisition by a private equity group led by Birch Hill Equity Partners and Westerkirk Capital
• RBC Capital Markets as the lead underwriter in Cineplex Galaxy Income Fund and Onex’s 2009 C$184 million secondary offering of trust units
• the underwriting syndicate in Student Transportation of America’s 2009 C$42 million bought deal offering of shares
• OrbiMed Advisors LLC and other investors in Enobia Pharma’s US$50 million Series C financing
• Sentinelle Medical in its sale to Hologic for up to C$335 million
• Husky Injection Molding Systems in its C$960 million share acquisition by Onex

Before joining Torys, Matthew was a senior research assistant at the University of Western Ontario, Faculty of Law, where he led a research project with respect to the Securities Transfer Act. He also assisted with updates to the publications Secured Transactions in Personal Property in Canada, Annotated Ontario Personal Property Security Act and Canadian Commercial Reorganization: Preventing Bankruptcy.
