On January 26, 2010, Quad/Graphics, Inc. announced that it entered into a definitive arrangement agreement, whereby it will acquire World Color Press Inc. (TSX: WC, WC.U) (branded as Worldcolor) for approximately C$1.3 billion. Under the agreement, Worldcolor shareholders will receive at closing approximately 40% of the outstanding shares of Quad/Graphics, and Quad/Graphics’ shareholders will hold approximately 60%.
The transaction, which will create North America's second-largest commercial printer by sales, is expected to close in the summer of 2010. Concurrently with the closing, the privately held Quad/Graphics intends to go public in the United States.
Quad/Graphics, headquartered in Sussex, Wisconsin, is a printer of catalogues, magazines and other commercial print products.
Montreal-based Worldcolor (formerly Quebecor World) is a provider of print products (such as Sports Illustrated and Rolling Stone magazines), digital services and catalogues.
