Quad/Graphics completes C$1.3 billion acquisition of Worldcolor 

Torys was Canadian counsel to Quad/Graphics with a team that includes Matthew Cockburn, James Miller, James Scarlett (corporate), Corrado Cardarelli (tax), Andrew Gray (litigation), Jay Holsten (competition), Omar Wakil and Sue-Anne Fox (Investment Canada), Mitch Frazer (pension and employment) and Graham Rawlinson (real estate).

On July 2, 2010, Quad/Graphics, Inc. announced that it has completed its acquisition of World Color Press Inc. (TSX: WC, WC.U) (branded as Worldcolor). The closing follows approval by shareholders of both companies, as well as final court approval.

The transaction, valued at approximately C$1.3 billion, has created North America's second-largest commercial printer by sales. Concurrently with the closing, the privately held Quad/Graphics intends to go public in the United States.

Quad/Graphics, headquartered in Sussex, Wisconsin, is a printer of catalogues, magazines and other commercial print products.

Montreal-based Worldcolor (formerly Quebecor World) is a provider of print products (such as Sports Illustrated and Rolling Stone magazines), digital services and catalogues.
