Torys assists clients in raising capital through a wide range of public and private equity and debt financings on both sides of the Canada-U.S. border. We serve both underwriters and issuers in a multitude of sectors, including in financial services, retail, manufacturing, mining, natural resources, life sciences, media and telecommunications, insurance, real estate, information technology and fund management.

Our practice includes a broad range of offering structures in both domestic and international markets—from the plain vanilla to the novel and complex. We work with Canadian clients on IPOs, MJDS offerings and other offerings, as well as stock purchases and sales in the U.S. markets. We also assist clients to raise funds through Rule 144A private placements, private investment in public equities (PIPES) or Regulation D equity offerings. On the debt side, we represent clients in the placement of investment-grade debt, Rule 144A private placements and other privately placed debt.

Our practice also has a strong regulatory aspect, which allows us to advise public companies on compliance and risk, and assist them if offenses occur. Our lawyers and litigators are also involved when disputes arise among shareholders or when other contentious issues develop in takeover bid situations.

Notably, in Toronto, several of our lawyers have been seconded to the Ontario Securities Commission and have been involved in legislative changes to our securities regime. In New York, one of our partners is a member of the Federal Regulation of Securities Committee of the ABA’s Business Law Section.
