OSC's view after Magna

If Karrin Powys-Lybbe, Michael Siltala and Cornell Wright were journalists, they would be credited with a scoop. But in their field, scoops aren't part of the daily work flow, even though the trio has given their clients an understanding of what staff at the Ontario Securities Commission (OSC) are thinking about in terms of possible new rules.

The lawyers attended the recent OSC Dialogue and have summarized the highlights of the session at which two OSC staffers, James Turner and Naizam Kanji, spoke. In time, the OSC will crystallize its thoughts, discuss those ideas with other regulators and issue a series of draft rules for comment. It seems the OSC has two main issues in mind: related-party transactions and shareholder-rights plans.
